Welcome to DonorMatchConnect. These Terms and Conditions ("Terms") govern your access to and use of the DonorMatchConnect website, services, and platform (collectively, the "Platform"). By creating an account or using the Platform, you agree to be bound by these Terms and our Privacy Policy.

1. Description of Service

DonorMatchConnect is a technology platform designed to facilitate the connection between individuals wishing to become egg or sperm donors ("Donors"), intended parents, and licensed medical clinics ("Partner Clinics"). Our service includes providing a secure platform for Donors to create a profile, undergo a pre-screening process, and be included in a database for potential matching. We are not a medical provider, law firm, or a party to any agreement between a Donor and intended parents or clinics.

2. User Eligibility and Obligations

• Eligibility: You must be at least 18 years of age (or the age of majority in your jurisdiction) to use the Platform. By using the Platform, you represent and warrant that you meet this requirement.
• Account Security: You are responsible for maintaining the confidentiality of your account login information (including email, screening codes, and donor codes) and are fully responsible for all activities that occur under your account.
• Accurate Information: You agree to provide true, accurate, current, and complete information about yourself as prompted by the Platform's registration and profile forms. Providing false, misleading, or incomplete information is a material breach of these Terms and may result in immediate suspension or termination of your account and profile.
• Lawful Use: You agree to use the Platform only for its intended, lawful purposes and in compliance with all applicable local, state, national, and international laws.

3. The Donation Process

You acknowledge and agree that:

• Submitting a profile on DonorMatchConnect does not guarantee that you will be selected as a donor or matched with intended parents.
• All medical screening, psychological evaluations, and medical procedures are conducted by and are the sole responsibility of our independent Partner Clinics.
• All legal agreements concerning parental rights, compensation, and other related matters are solely between you, the intended parents, and your respective legal counsels. We are not a party to and have no liability under such agreements.

4. User Content and Data Privacy

You grant DonorMatchConnect a worldwide, non-exclusive, royalty-free license to use, reproduce, display, and distribute the information and content you provide (your "Content") for the purpose of operating the Platform and facilitating the matching process. This includes sharing anonymized versions of your profile with Partner Clinics and intended parents.

Our collection and use of your personal and sensitive information are governed by our Privacy Policy, which is incorporated into these Terms by reference. You explicitly consent to the data handling practices described therein, including the collection of sensitive health data.

5. Intellectual Property

All content on the Platform, including text, graphics, logos, and software, is the property of DonorMatchConnect or its licensors and is protected by copyright and other intellectual property laws. You may not use, copy, or distribute any content from the Platform without our prior written permission.

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. DONORMATCHCONNECT EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

IN NO EVENT SHALL DONORMATCHCONNECT, ITS OWNERS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE PLATFORM OR ANY OUTCOME OF THE DONATION PROCESS.

7. Indemnification

You agree to indemnify, defend, and hold harmless DonorMatchConnect and its affiliates, officers, agents, and employees from any claim, demand, damages, or losses, including reasonable attorneys' fees, made by any third party due to or arising out of your use of the Platform, your violation of these Terms, or your violation of any rights of another.

8. Modification and Termination

We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on this page. We may also suspend or terminate your access to the Platform at any time, for any reason, including for breach of these Terms, without prior notice or liability.

9. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. You agree to submit to the personal and exclusive jurisdiction of the state and federal courts located within Delaware for the resolution of any disputes.
